Terms of Service

1. Acceptance of terms

By accessing or using nabbed.media, app.nabbed.media, the Nabbed Agent, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement.

2. Description of the Service

Nabbed provides a control plane (hosted at app.nabbed.media) and an open source agent (running on your hardware) that together automate media library management. The Service enables you to:

• Configure and manage media libraries (TV series and films).
• Define quality preferences and acquisition rules.
• Coordinate between the control plane and one or more agents.
• Share library metadata with trusted peers (Nexus).

The Agent executes tasks on your hardware, on your network, using your own accounts with third-party services (indexers, Usenet providers, torrent trackers, media servers). Nabbed does not provide, host, index, or distribute any media content.

3. Your responsibilities and legal compliance

3.1 You agree that:

• You will comply with all applicable laws — including copyright, intellectual property, and data protection laws in your jurisdiction — when using the Service.
• You are responsible for the content you acquire — Nabbed does not evaluate, monitor, verify, or endorse the legality of any content you choose to search for, download, or share. We have no visibility into what content you acquire (see our Privacy Policy, section 2.3).
• You are responsible for your third-party accounts — your Usenet provider accounts, indexer subscriptions, torrent tracker memberships, and media server configurations are yours. Nabbed does not manage, access, or store credentials for these services (they are stored locally on the Agent).
• You are responsible for peer sharing — when you share library metadata or transfer files via Nexus, you represent that you have the right to share that content. Nabbed facilitates the connection but does not monitor, screen, or approve transfers.

3.2 You agree NOT to:

• Use the Service to infringe upon the intellectual property rights of others.
• Use the Service to distribute malware, illegal content, or content you do not have the right to share.
• Circumvent any access controls, DRM, or copy protection mechanisms using the Service.
• Use the Service in any manner that violates applicable law.
• Abuse the Service infrastructure (excessive API calls, denial-of-service, credential stuffing).
• Attempt to access other users' data, agents, or accounts.
• Resell, sublicense, or commercially redistribute the Service without written permission.

4. Copyright and takedown

Nabbed does not host, store, index, or transmit media content. The Control Plane stores only metadata (titles, quality preferences, job status). Media files are acquired by and stored on your Agent, on your hardware, using your accounts with third-party services.

Because we do not host or transmit user content, traditional DMCA takedown procedures directed at content removal do not apply to Nabbed in the same way they apply to hosting providers. However:

• If you believe a Nabbed user is using the Service to infringe your copyright, you may contact us at legal@nabbed.media with details. We will investigate and take appropriate action, which may include account termination.
• We reserve the right to terminate accounts that we reasonably believe are being used for systematic copyright infringement.

5. The open source Agent

The Nabbed Agent is open source software released under the MIT License. Your use of the Agent is governed by the MIT License in addition to these Terms.

• The Agent runs on your hardware, under your control.
• The Agent communicates only metadata to the Control Plane (see Privacy Policy).
• The Agent stores credentials, downloads, and media files locally. Nabbed has no access to these.
• You are responsible for securing your Agent installation and the data it manages.

The MIT License permits you to modify, fork, and redistribute the Agent. Modifications are your responsibility and may affect compatibility with the Control Plane.

6. Accounts and access

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity under your account.
• You must notify us immediately at security@nabbed.media if you believe your account has been compromised.
• We may suspend or terminate accounts that violate these Terms, with notice where practicable.

7. Households and Nexus (peer sharing)

7.1 Households

• A household is a group of up to 5 members sharing agents and a library under one Pro subscription.
• The billing owner (Admin) is responsible for the household's compliance with these Terms.
• All household members are individually bound by these Terms.
• Household Admins can invite, remove, and manage member roles. Removing a member is immediate and irrevocable.

7.2 Nexus (peer sharing)

• Nexus allows Pro users to share library metadata and transfer files between agents.
• Peer connections require mutual approval. Either party can disconnect at any time.
• When you share content via Nexus, you represent that you have the right to share it.
• Nabbed facilitates peer introductions but does not monitor, inspect, or store transferred content. The relay sees only encrypted data.
• Nabbed is not responsible for content shared between peers. Each user bears sole responsibility for the legality of content they send or receive.

8. Pricing, billing, and refunds

• Free tier is free forever. It is not a trial. Features available on the Free tier will not be removed or reduced.
• Pro tier is billed monthly or annually via Stripe. Prices are listed in GBP (£) and may be subject to local taxes calculated by Stripe Tax.
• Pro Lifetime is a one-time payment granting permanent Pro access. No recurring charges.
• Payment failure: if your payment fails, you have a 7-day grace period. After the grace period, your account reverts to the Free tier. No data is deleted.
• Cancellation: you can cancel at any time. Access continues until the end of the current billing cycle. No refunds for partial periods.
• Refunds: 48-hour no-questions refund for monthly/annual subscriptions. 30-day refund for Lifetime purchases. Contact billing@nabbed.media.
• Downgrading: if your current usage exceeds Free tier limits (e.g., more than 1 agent), you must bring usage into compliance before the downgrade takes effect.

9. Disclaimers

Nabbed is an automation tool. It does not evaluate the legality of your actions. You are solely responsible for ensuring your use of the Service complies with applicable laws.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NABBED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR LEGAL FEES ARISING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL NABBED'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID TO NABBED IN THE 12 MONTHS PRECEDING THE CLAIM, OR £100, WHICHEVER IS GREATER.

Without limiting the foregoing, Nabbed is not liable for:

• Content you acquire, download, share, or distribute using the Service.
• Actions taken by third-party services (indexers, Usenet providers, torrent trackers, media servers).
• Data loss on your hardware or Agent installation.
• Legal consequences arising from your use of the Service.
• Content shared between peers via Nexus.

11. Indemnification

You agree to indemnify, defend, and hold harmless Nabbed, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or related to:

• Your use of the Service.
• Content you acquire, share, or distribute.
• Your violation of these Terms or any applicable law.
• Your violation of any third party's rights, including intellectual property rights.

12. Termination

• By you: you can delete your account at any time. Data deletion is completed within 30 days.
• By us: we may suspend or terminate your account if you violate these Terms, with notice where practicable. In urgent cases (security incidents, legal requirements), we may act immediately.
• Effect of termination: upon termination, your access to the Control Plane is revoked. Your Agent continues to function locally with cached state but will not receive new jobs. Data on your hardware remains yours.
• Survival: sections 3 (Your responsibilities), 9 (Disclaimers), 10 (Limitation of liability), and 11 (Indemnification) survive termination.

13. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws of your jurisdiction provide otherwise.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email (if you have an account) and posted on this page with an updated date. Continued use of the Service after changes constitutes acceptance.

If you disagree with updated Terms, your sole remedy is to stop using the Service and delete your account.
